AW Academy Video Lecture Donation Agreement

This Video Lecture Donation Agreement (hereinafter “Agreement”), is made effective as of June 12, 2021 by and between yourself and or your company (Lecturer) as outlined on the registration document and Redstone Media Group Inc., (Host).

Recitals.

WHEREAS, Host wishes to engage Lecturer to donate video lectures to the Animal Wellness Academy (“Event);

WHEREAS, Lecturer has the skills, qualifications, and expertise required to provide the lecture video at the Event (“Lecture Video”);

WHEREAS, the Lectures specific subject-matter expertise is the area in which Lecturer will be speaking, and is listed on the Lecturer/Exhibitor registration form.

WHEREAS, Lecturer wishes to render the Lecture Videos to the Host at the Event;

NOW, therefore, in consideration of the promises and covenants contained herein, as well as other good and valuable consideration (the receipt and sufficiency of which is hereby acknowledged), the Parties do hereby agree as follows:

Article 1 – SCOPE

This Agreement sets forth the terms and conditions whereby Lecturer agrees to provide the Lecture Videos at the Event. Speaker will be engaged for the limited purpose of providing the Lecture Videos.

Neither Party is by virtue of this Agreement authorized as an agent, employee, or legal representative of the other. Neither Party shall have the power to control the activities and operations of the other. The Parties’ status at all times will continue to be that of an independent contractor relationship.

Article 2 – DESCRIPTION OF SERVICES & TERM

Event Host hereby engages Lecturer, and Lecturer accepts such engagement to donate the Video Lectures. The Host may use the videos for educational purposes via its Animal Wellness Academy and affiliated media outlets with an unlimited Term.

• Timing of Event:       24hr access

Article 3 – SPEAKER WARRANTIES

Lecturer represents and warrants that Lecturer has the knowledge, skills, and experience necessary to perform the Speaking Services.

Lecturer understands that Lecturer’s lecture and presentation will be reviewed by Event Host for accuracy, to ensure the lecture and presentation is educational in nature, and matches the lecture/video description.

Article 4 – COMPENSATION TRADE- Affiliate Program

The Lecturer understands and agrees that the donation of educational video lectures will trigger the opportunity for the Lecturer to earn compensation from the Host in the form of Affiliate income for the promotion leading to the sale of an Animal Wellness Academy Membership.  The Lecturer can earn 33% of the Membership Fee for any level of membership that is purchased from any person, company or organization as a result of the Lecturer promoting the membership offer to any of its clients, customers or followers.  The Membership levels and corresponding prices are available as per the Membership Pricing Form Landing accessible through AnimalWellnessAcademy.org, AnimalWellnessMagazine.com, EquineWellnessMagazine.com, CanadianDogs.com and IVCJournal.com.

Article 5 – CANCELLATION

In the event that either Party wishes to cancel this Agreement, the Parties agree to give at least 90 days notice. In the event this Agreement is canceled by Event Host without proper notice, Speaker shall continue to earn Affiliate income for any sales that are a result of their promotion.

Article 6 – INTELLECTUAL PROPERTY

In accordance with the terms and conditions of this Agreement, and unless the Parties otherwise agree, the lecture/video IP generated by the Speaker shall belong to the Lecturer.  The Event Host will retain the unlimited right to promote and offer the lecture for a fee to event attendees during the event or as part of a membership program.  As well, the Event Host retains the rights to utilize the lecture introduction video or any part ; as contracted to be produced by the speaker; for marketing purposes in any form on any platform at any time.

To the best of Lecturer’s knowledge, Lecturer will not utilize information that violates any proprietary or personal rights of others (including any copyright, trademark, and privacy rights), is factually accurate, and contains nothing defamatory or otherwise unlawful. Lecturer has the full authority to enter into this agreement and has obtained all necessary permissions or licenses from any individuals or organizations whose material is included or utilized in their content.

Event Host retains the right to host information on the Event Host’s website/s AnimalWellnessAcademy.org, AnimalWellnessMagazine.com, EquineWellnessMagazine.com and IVCJournal.com. Lecturer gives the Event Host permission to use Lecturers name, photo, and biographical data in connection with the promotion of and/or within the AnimalWellnessAcademy.org, AnimalWellnessMagazine.com, EquineWellnessMagazine.com and IVCJournal.com, and marketing materials in its entirety.

Article 7 – DISPUTE RESOLUTION

In case of a dispute between the Parties relating to or arising out of this Agreement, the Parties shall first attempt to resolve the dispute personally and in good faith. If these personal resolution attempts fail, the Parties shall then submit the dispute to binding arbitration. The arbitration shall be conducted in the county and state noted in the GOVERNING LAW provision of this Agreement.

Article 8 – NOTICES

All notices, shall be in writing and addressed to the Parties at the addresses set forth on the first page of this Agreement and shall be delivered by email.
